These Terms & Conditions ("Terms") govern your use of the website and services provided by Automera Flow LLC. By accessing our website or engaging our services, you agree to these Terms.

1. Services

Automera Flow LLC provides AI-powered workflow automation, business process automation, AI chatbot setup, CRM workflow automation, document processing automation, email workflow automation, AI tools integration, and technology consulting services. All services are delivered remotely.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts on behalf of yourself or your organization to use our services.

3. Proposals & Agreements

All projects begin with a written proposal or statement of work ("SOW"). Services commence only upon written acceptance of the SOW and receipt of any required deposit. The SOW constitutes the complete agreement for each project.

4. Payment Terms

Invoices are due within 14 days of issuance unless otherwise specified in the SOW.
Late payments accrue interest at 1.5% per month.
We reserve the right to suspend services for overdue accounts.
All fees are in USD unless otherwise agreed.

5. Intellectual Property

Upon full payment, you receive a non-exclusive license to use deliverables for your internal business purposes. Automera Flow LLC retains ownership of all underlying frameworks, tools, and methodologies. We may showcase completed work in our portfolio unless you request confidentiality in writing.

6. Client Responsibilities

You agree to provide timely access to necessary systems, data, and personnel; provide accurate and complete information; and obtain all required third-party licenses or permissions for tools we integrate.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement and not to disclose it to third parties without prior written consent, except as required by law.

8. Limitation of Liability

To the maximum extent permitted by law, Automera Flow LLC's total liability for any claim arising from our services shall not exceed the total fees paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Warranties & Disclaimers

We warrant that services will be performed in a professional manner consistent with industry standards. We do not guarantee specific business outcomes or results from automation implementations. Services are provided "as is" beyond this warranty.

10. Termination

Either party may terminate a project with 14 days' written notice. You are responsible for payment of all work completed through the termination date. Deposits are non-refundable unless otherwise stated in the SOW.

11. Governing Law

These Terms are governed by the laws of the State of Colorado, USA. Any disputes shall be resolved in the courts of Douglas County, Colorado.

12. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our services after changes constitutes acceptance of the revised Terms.

Refund Policy

At Automera Flow LLC, we are committed to delivering high-quality AI workflow automation and consulting services. This Refund Policy outlines the conditions under which refunds may be issued.

1. Nature of Services

All services provided by Automera Flow LLC are custom, knowledge-based, and delivered remotely. Because our work involves significant time, expertise, and resources from the moment a project begins, refunds are handled on a case-by-case basis.

2. Deposits

Deposits required to initiate a project are non-refundable. They cover initial discovery, planning, and resource allocation performed before project execution begins.

3. Eligibility for Refunds

A partial or full refund of milestone payments (beyond the deposit) may be considered if:

Automera Flow LLC fails to deliver the agreed-upon scope of work as defined in the SOW.
A project is cancelled by Automera Flow LLC before completion without cause attributable to the client.
A documented technical error on our part results in a duplicate charge.

4. Non-Refundable Situations

Refunds will not be issued for:

Change of mind after work has commenced.
Delays caused by the client (e.g., failure to provide access, information, or approvals).
Dissatisfaction with results that fall within the agreed scope but do not meet subjective expectations.
Third-party tool costs, subscription fees, or API charges incurred on your behalf.
Completed and approved deliverables.

5. Requesting a Refund

To request a refund, contact us within 14 days of the disputed charge at help@automeraflow.com with your project details and reason for the request. We will respond within 5 business days.

6. Resolution Process

We prefer to resolve disputes through direct communication. If a refund is approved, it will be processed to the original payment method within 10 business days. We reserve the right to offer service credits as an alternative to monetary refunds.

7. Chargebacks

We encourage clients to contact us before initiating a chargeback. Unauthorized chargebacks may result in suspension of services and recovery of associated fees.
